Five Mistakes Foreign Companies Make When Entering Switzerland

1. Treating the bank account as an afterthought. Banking is the hardest part of doing business in Switzerland as a foreigner — harder than formation, harder than regulatory compliance. 2. Assuming the nominee director fee covers everything. The standard nominee director fee of CHF 5’900/year covers the directorship. Budget CHF 9’000-12’000 in total nominee-related costs for an active company in year one.

3. Ignoring substance requirements. Switzerland’s low-tax regime is legitimate, but OECD BEPS rules and Swiss STAF reform require genuine substance — real employees, real management decisions made in Switzerland, real operations. Pure letterbox structures are increasingly non-compliant and attract scrutiny from both Swiss and foreign tax authorities.

4. Choosing the wrong canton. The difference between Zug (11.8% effective tax) and Zurich (19.7%) is approximately CHF 79’000/year on CHF 1’000’000 profit. Unless your business specifically requires a Zurich or Geneva presence, Zug is the default recommendation.

For businesses, where you incorporate and where you operate matters in ways that go beyond symbolism. The canton of Zug charges a materially lower corporate tax rate than the canton of Bern. The GmbH (Limited Liability Company)

The Gesellschaft mit beschränkter Haftung (GmbH) is the Swiss equivalent of a private limited company. It is the most common structure for foreign-owned operating companies and subsidiaries. The minimum share capital is CHF 20,000, fully paid up. Management is exercised by one or more managers (Geschäftsführer), at least one of whom must be a Swiss resident.

Real all-in costs for a foreign founder (2026): GmbH registration including notary fees: CHF 1’900. Registered address in Zug: CHF 2’400/year (Zurich: CHF 3’000/year). Nominee Swiss-resident director: CHF 5’900/year (standard) or CHF 7’400/year (higher involvement). Accounting for a dormant company: from CHF 1’400/year. A full formation package (registration + address + nominee director + first year accounting) runs CHF 9’000-11’000 plus the share capital deposit. These are real prices from current engagements, not estimates.

The nominee director fee does not include signing work permits, corporate filings, board meeting attendance, or banking documentation — those are billed separately at CHF 350/hour.

The GmbH is registered in the Commercial Register and offers limited liability to its shareholders. It is well-suited to operating businesses, professional service firms, and holding structures where a close-held ownership structure is appropriate.

What a GmbH Actually Costs: The All-In Number

Most guides quote the CHF 20,000 minimum share capital and stop there. Here is the realistic all-in cost for a foreign-owned GmbH in its first year:

All Swiss cantons are required to offer an IP Box regime (Patent Box) under the 2020 corporate tax reform (STAF/RFFA). Value Added Tax (VAT)

Opening a Swiss corporate bank account is not a formality. Swiss banks operate under strict anti-money laundering obligations under the Anti-Money Laundering Act (AMLA/GwG), and due diligence requirements for foreign-owned companies are extensive. Rejection rates of 20–30% for unprepared applications are not uncommon.

The real banking situation for foreign-owned companies in 2026:

  • UBS: requires CHF 500’000+ under management for new non-resident corporate clients
  • PostFinance: standardised process but rejects frequently — brand-sensitive company names, health sector companies, and insufficient business documentation are common triggers
  • Cantonal banks (Zuger Kantonalbank, ZKB): the most practical option for most operating companies with genuine local substance
  • Relio AG (fintech, CHF 249/month): same-day onboarding after video verification, but explicitly rejects any US-nexus companies
  • US persons: practically always rejected by Swiss banks. Exception: existing Swiss residence + physical presence + demonstrated tax compliance in both countries

Account opening is solely the bank’s decision. There is no right to a Swiss bank account and no appeals process. If the bank approves a blocked capital deposit account during formation, there is roughly an 80% probability it will also approve the permanent operating account — this is the most important signal in the process.

Timeline: from approximately 1 month (well-prepared, right bank) to 3+ months for complex structures. A capital deposit account is required at the formation stage to pay in share capital.


Employment and Labour Law

Swiss employment law is codified primarily in the Code of Obligations (Articles 319–362) and a series of federal statutes governing specific topics: the Labour Act (ArG), the Act on Posted Workers (EntsG), and the Federal Act on Accident Insurance (UVG).

Flexibility by European Standards

By the standards of the EU, Swiss employment law is flexible. There is no statutory minimum wage at the federal level, though several cantons (Geneva, Basel-City, Neuchâtel, Jura, Ticino) have introduced cantonal minimums ranging from approximately CHF 21 to CHF 24 per hour. Notice periods and termination procedures are less prescriptive than in Germany, France, or Italy.

Employment contracts can be concluded in any language and are not subject to mandatory form requirements (though written contracts are standard practice). Probationary periods of up to three months are standard.

Mandatory Social Insurance

Employers in Switzerland must enrol employees in the following mandatory social insurance schemes:

  • AHV/IV/EO: Old-age and survivors’ insurance, disability insurance, and income compensation. Combined employer/employee contribution is approximately 10.6% of gross salary.
  • ALV: Unemployment insurance. Combined rate of 2.2% on salaries up to CHF 148,200.
  • UVG: Accident insurance (occupational and non-occupational). Employer covers occupational accident; non-occupational accident is typically employee-deducted.
  • BVG/LPP: Occupational pension (second pillar). Mandatory for employees earning above CHF 22,050; contribution rates vary by age.

Licensing and Regulatory Permits

The majority of business activities in Switzerland can be commenced without sector-specific licensing beyond standard commercial registration. Switzerland does not require general business licences for most commercial, trading, or service activities.

However, several sectors are subject to dedicated federal regulatory oversight:

  • Financial services: FINMA (Eidgenössische Finanzmarktaufsicht) regulates banks, insurance companies, securities firms, collective investment schemes, financial market infrastructure, and distributed ledger technology (DLT) service providers.   • Staff leasing (Personalverleih): Any company placing temporary workers in Switzerland requires a SECO staff leasing licence — there is no minimum threshold of contracts. The common belief that fewer than ten placements are exempt is false. Fines reach CHF 100,000 for unlicensed providers and CHF 40,000 for clients who knowingly use them. The responsible person must be a Swiss resident with relevant qualifications and clean criminal and debt records. Foreign companies using a Master Services Agreement from their parent entity should note that the MSA must be issued by the Swiss legal entity — a foreign-issued MSA has no standing for Swiss staff leasing compliance.
